These Terms and Conditions ("Terms") constitute a legally binding agreement between AppsBrain Technologies ("AppsBrain", "we", "us") based in Jiaganj, Murshidabad, West Bengal, India — and the client ("you", "Client") engaging our services.
By submitting a project enquiry, signing a proposal, making a payment, or engaging our services in any form, you agree to be bound by these Terms.
These Terms apply to all services provided by AppsBrain including web design, web development, e-commerce development, UI/UX design, no-code development, and dedicated developer hiring. Use of our website constitutes acceptance of these Terms and our Privacy Policy.

The specific scope of each project will be defined in a written proposal, agreement, or statement of work agreed upon before project commencement.
All projects follow a structured process: discovery → proposal → agreement → design → development → review → launch. Timelines and deliverables are defined in the project proposal. AppsBrain is not responsible for delays caused by late client feedback, content delivery, or third-party dependencies (domain registrars, hosting providers, etc.).
Final deliverables will only be provided upon receipt of full and final payment.
A non-refundable deposit of 30–50% is required to commence work. The remaining balance is due upon project completion and before final files or access credentials are handed over. Specific payment milestones will be outlined in your project proposal.
Monthly plans are billed in advance at the start of each billing cycle. Hourly plans are billed weekly or at month-end based on verified time logs.
If payment is not received within 7 days of invoice due date, AppsBrain reserves the right to pause or suspend all work. We may charge a late fee of 2% per month on outstanding balances.

Upon receipt of full and final payment, the Client receives full ownership of all bespoke code, design files, and deliverables created specifically for their project. AppsBrain retains the right to:
Third-party assets (stock images, fonts, plugins, themes) remain subject to their original licensing terms. AppsBrain retains full ownership of all work until final payment is received.
AppsBrain treats all project information, business data, and technical specifications shared by clients as confidential. We will not disclose this information to third parties without your written consent, except where required by law.
If you require a formal Non-Disclosure Agreement (NDA) before project discussions begin, please request one before sharing sensitive information. We are happy to sign client-provided NDAs or provide our own standard NDA template.

Each project includes a defined number of revision rounds as stated in the proposal (typically 2–3 rounds of design revisions and 1–2 rounds of development revisions). Additional revisions beyond the agreed scope will be charged at our current hourly rate ($18/hr or equivalent).
Significant changes to project scope after work has commenced may result in a revised timeline and additional charges. AppsBrain will notify the Client before proceeding with out-of-scope work.
AppsBrain warrants that all work will be performed with reasonable skill and care, and that delivered websites will function as described in the project scope at the time of handover.
We provide 30 days of complimentary post-launch support for bug fixes and minor adjustments. After 30 days, ongoing support is available under a maintenance retainer.
We do not warrant that the website will achieve specific search engine rankings, that third-party platforms will remain compatible indefinitely, or that the website will remain free of security vulnerabilities after client modifications.
To the maximum extent permitted by applicable law, AppsBrain's total liability for any claim shall not exceed the total amount paid by you for the specific project giving rise to the claim.
In no event shall AppsBrain be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.
Either party may terminate a project engagement with 14 days written notice. Upon termination:
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of West Bengal, India. For international clients, AppsBrain will endeavour to resolve disputes amicably before pursuing formal legal proceedings.
